AirRenergy Tech increases capital raise to ₪71 million while entering new sector
Concurrently with a new contract for roofing sports courts, the company announces a dramatic increase in its private placement to approximately ₪71.35 million. The chairman and CEO will increase their personal investments.
AirRenergy Tech reported two major developments: increasing its private capital raise from approximately ₪42.7 million to around ₪71.35 million, and winning a ₪6.5 million framework contract for roofing sports courts via its subsidiary Gringo. The capital raise, which includes increased participation by senior executives, is subject to shareholder approval.
AirRenergy Tech reported a significant increase in a planned private capital raise, just days after announcing its entry into a new field of activity. The company's board approved increasing the scope of the private placement by approximately 67%, from a total of about ₪42.7 million to a total of roughly ₪71.35 million. The financial move comes alongside a report on signing a ₪6.5 million framework agreement to carry out roofing work for sports courts through its subsidiary Gringo.
Increased capital raise and vote of confidence from management
The central development is the board's decision on September 22, 2026, to increase the private placement, which was first reported on September 16. The addition of approximately ₪28.65 million brings the total potential capital raise to roughly ₪71.35 million. Under the updated offer, the company is expected to allocate a total of 11,832,500 ordinary shares as well as 12,454,391 warrants under terms identical to the original offer. Completion of the raise is subject to required approvals, led by the approval of the company's shareholder meeting.
As part of the move, the company's top executives are signaling a vote of confidence. Board Chairman Yiftah Ron-Tal and CEO Tal Raz announced an increase in their personal participation in the placement. Together, the two will invest ₪300,000 (₪200,000 by the chairman and ₪100,000 by the CEO), amounts higher than those published in the original filing. The company noted that this move follows additional purchases the two previously made on the stock exchange. Increased investment by senior management is generally perceived in the market as a positive sign, indicating their belief in the company's strategy and future.
Entry into a new line of activity
Concurrently with the capital raise, AirRenergy expanded its business activities. The company reported on September 17 that its subsidiary, Gringo Environmental Consulting Ltd., signed a strategic framework agreement with Maagalim Energy Ltd. The agreement is for engineering, procurement, and construction (EPC) work to erect sheds and roof structures for sports courts at several sites. Total consideration, assuming all projects materialize, is estimated at approximately ₪6.5 million including VAT.
The work will cover all project stages, from structural design through foundation and infrastructure work to the installation of roofing and ancillary systems. Significantly, Gringo will also be responsible for obtaining all required regulatory approvals, making it a full-turnkey provider. The deployment of work and resulting revenue is expected to span a period of about a year and a half.
Together, the two reports paint a picture of a company in growth momentum. On one hand, it secures significant financial runway enabling it to execute its strategic plans. On the other hand, it demonstrates how it expands into new activity areas and diversifies its revenue streams. Success in the capital raise will afford the company financial flexibility to continue seeking similar business opportunities in the future.
