Pacific Oak convenes bondholders for consultation meetings

Real estate company Pacific Oak S-R, through its trustee, is convening bondholders of Series B and D for reporting and consultation meetings. On the agenda: updates from the company and the representative committee regarding "events" that have occurred since the last gathering, although at this stage...

The bond trustee of Pacific Oak S-R has called reporting and consultation meetings for Series B and D bondholders, to be held on October 5, 2026. The meetings, which will be held jointly via Zoom, will address updates from the company and the representative committee on recent events, but will not include any votes. Should decisions be required, a separate meeting will be convened.

The bond trustee for Pacific Oak S-R (BVI) Holdings, Reznik Paz Nevo Trusts, announced today the convening of reporting and consultation meetings for the company's Series B and D bondholders. The meetings will be held on October 5, 2026, at 5:45 PM, in a joint format for both series via video conference (Zoom).

The purpose of the gathering, as stated in the filing, is for consultation and updates only, and therefore no votes will take place during the session. The agenda comprises three main items: first, a report by the joint bondholder representative committee regarding events and its activities since the last meeting; second, an update by the company itself and a discussion of events that occurred during that period; and third, opening the floor to additional topics as raised by the trustee or bondholders.

The trustee's notice emphasized that the meetings were called for the same time and in a joint format because the report to be provided is identical for holders of both series. However, it was noted that if a demand arises from holders to hold a separate discussion for one of the series, a dedicated separate meeting will be convened. It was further reported that if issues requiring a vote arise during the discussions, new meetings will be convened for decision-making.

The record date for entitlement to participate in the meetings was set for September 30, 2026. According to the notice, since the meetings are convened for reporting and consultation purposes only in accordance with the Securities Law provisions, the quorum required to open them is any number of participants holding bonds of the relevant series.

Convening consultation meetings, as opposed to meetings for decision-making, is common in cases where a company or the bondholder committee wishes to update the investing public on significant developments or assess their position before formulating future steps. The general wording of the agenda, referring to "events" that have occurred since the previous gathering, leaves the details of the discussion open until the meeting itself.
