Palram and Plastopil: Shareholders meetings approve director appointments amid Plastopil director departure

While parent company Palram and controlling subsidiary Plastopil held general meetings and approved a series of management appointments, Plastopil reported the immediate termination of a director's tenure after just 16 months on the job.

Palram Industries and subsidiary Plastopil Hazorea held annual general meetings on October 4, overwhelmingly approving the re-election of directors, auditors, and external directors. Palram appointed a new external director, Yoram Sadeh, while Plastopil unanimously approved its CEO's employment terms. Concurrently, Plastopil announced the departure of director Zvi Haim Dagan on the same day.

Thermoplastic sheet manufacturer Palram Industries (1990) Ltd and its controlled subsidiary, Plastopil Hazorea Company, which specializes in the manufacturing of flexible plastic films, held their annual and special general meetings of shareholders on October 4, 2026. The concurrently held meetings reflected stability and broad backing for both companies' managements, though the approval of appointments was accompanied by a surprising personnel change on Plastopil's board of directors.

### Near-total support at Palram and new external director appointment
At the meeting of parent company Palram, all agenda items were approved by an overwhelming majority. Among other things, the terms of numerous directors were extended, including Chairman of the Board Ido Rodoy. The primary focus centered on approving the terms of external directors. The meeting approved the appointment of Ms. Dafna Shalev-Pelam to a third term as an external director, as well as the appointment of Mr. Yoram Sadeh to a first term as an external director. Both appointments, which will commence on November 12, 2026, received 99.9% support from minority shareholders (those with no personal interest), with 4,325,736 votes in favor and only 4,401 against (Form T076 2026-01-089959). Among all voters, support stood at 99.98%. In addition, the re-appointment of EY accounting firm as the company's auditor was approved.

### Unanimous approval at Plastopil, but a departing director
Concurrently, at subsidiary Plastopil's meeting, support for management was absolute. All agenda items passed unanimously, with zero opposition (Form T076 2026-01-089983). Approved resolutions included: extending the terms of directors, including Chairman Ronen Elad; re-appointing the BDO accounting firm; and extending the terms of external directors Dana Schlesinger and Michael Schwartz to a third term. Additionally, the meeting unanimously approved an update to the management services agreement of the company's CEO, Dudi Zabida. Out of 14,244,681 shares participating in the vote on these items, all voted in favor.

However, on that exact same day, minutes after the meeting's results were published, Plastopil reported the termination of director Zvi Haim Dagan's tenure (Form T076 2026-01-089984). Dagan, who began his board tenure on June 5, 2024, concluded his role after only about 16 months. According to the filing, the departure "does not involve circumstances that should be brought to the attention of the corporation's securities holders," and Dagan will not continue to hold any other role in the company. The close timing between the meeting approving the continued service of most board members and the announcement of Dagan's immediate departure marks an interesting development in the company's corporate governance.
