Wesure chairman buys ₪1.2 million in shares; subsidiary approves benefits for his relative on the same day

Emil Weinstein, chairman of Wesure Global Tech, increased his holdings in the company alongside the approval of a compensation package for his relative, Daniel Weinstein, at the shareholders meeting of subsidiary Ayalon Insurance.

Emil Weinstein, chairman of the board of Wesure Global Tech, purchased shares of the public company through a company he owns for approximately ₪1.21 million. The purchase was executed on the same day that subsidiary Ayalon Insurance reported the approval of a compensation package for Weinstein's relative, who serves as a controller in a related company and chairman of an insurance agency in the group.

Wesure Global Tech board chairman Emil Weinstein is expressing confidence in the company by acquiring shares worth over ₪1.2 million. The purchase comes with interesting timing: on that very same day, subsidiary Ayalon Insurance approved a compensation package for Weinstein's relative. The two events, which were reported separately to the stock exchange on October 6, paint a picture of brisk activity among controlling shareholders and insiders in the insurance group.

According to a filing submitted by Wesure, A.A. Shay Holdings and Consulting, which is controlled by Weinstein (95.2%), purchased 80,301 shares of Wesure Global Tech on October 5. The purchase was executed in multiple TASE transactions at an average price of 1,512 agorot (₪15.12) per share, bringing the total investment to approximately ₪1.21 million. Following the purchase, A.A. Shay Holdings' holdings increased from 3,044,255 shares (2.02% of the capital) to 3,124,556 shares (2.08% of the capital). The remaining shares in the holding company (4.8%) are held by Weinstein's mother. It should be noted that Emil Weinstein serves as chairman of Wesure Global Tech as well as a director and vice chairman of the board at the subsidiary Ayalon Insurance Company.

Concurrently, and on the same day, Wesure reported the results of the shareholders meeting of its subsidiary, Ayalon Insurance Company, which convened the previous day. The meeting approved a series of items, chief among them an update to employment terms and the granting of an annual bonus for 2025 to Daniel Weinstein. According to the filing, Daniel Weinstein is a relative of Ayalon's controlling shareholder, Emil Weinstein. Daniel Weinstein's roles in the group include controller at Wesure Insurance Company Ltd. and chairman of Nachon Insurance Agency Ltd. The approval of his compensation terms constitutes a related-party transaction.

In addition to the benefits for Daniel Weinstein, the Ayalon meeting also approved the allocation of non-marketable options to a manager at Wesure Insurance Company Ltd., a transaction in which the parent company, Wesure Global Tech, "may have a personal interest" in its approval, as stated in the filing. These two approvals highlight the interlocking relationships and internal transactions within the Wesure-Ayalon group.

The proximity between the share purchase by the chairman and the approval of benefits for his relative at the subsidiary highlights insider activity in the company. While a share purchase by a senior officer is typically perceived as an expression of confidence in the company's future, it occurred simultaneously with events concerning corporate governance and related-party transactions.
